Service Scope
Represent overseas clients to negotiate, review, and finalize China domestic legal contracts for brand agency, distribution rights, licensing, and regional authorization with Chinese brand owners, ensuring compliance with Chinese laws and commercial feasibility.
1. SOP
Phase 1: Intake & Requirement Confirmation
- Collect full client information: company entity, business scope, target market, sales channels, and financial capacity.
- Confirm authorization objectives: product category, exclusive/non-exclusive rights, territory, term, sales targets, pricing policy.
- Conduct preliminary due diligence on the Chinese brand: trademark status, business license, production capacity, existing agency records.
- Issue Client Requirement Brief & Feasibility Assessment.
Phase 2: Communication & Negotiation Support
- Act as the official liaison between overseas client and Chinese brand.
- Assist in negotiating core commercial terms: agency fees, deposits, rebates, supply chain, after-sales, territorial restrictions.
- Record and issue Meeting Minutes & Negotiation Summary after each discussion.
- Finalize a mutually agreed Term Sheet (Letter of Intent).
Phase 3: Contract Drafting & Legal Review
- Draft or revise the China domestic brand agency / distribution contract in accordance with PRC laws.
- Review key clauses:
- Intellectual property rights (trademark use, infringement liability)
- Territory, channel control, anti-dumping provisions
- Payment, delivery, warranty, liability for breach
- Termination, renewal, dispute resolution (governed by PRC law)
- Provide Legal Risk Analysis & Revision Suggestions.
- Coordinate revisions until both parties approve the final version.
Phase 4: Execution & Closing
- Provide signing guidance: electronic signature, offline signing, notarization (if required).
- Confirm full execution of the formal contract.
- Organate and archive all documents.
- Deliver Project Completion Report.
Phase 5: Post-Signaling Support (Optional)
- Contract compliance guidance
- Renewal & amendment support
- Dispute resolution consultation

3. Service Standards (SLA)
